注册外商独资生产类公司办理程序及费用
一、在上海设立生产类外商独资公司所需材料

(一)全体投资方的个人护照，在中国驻当地大使馆公证。每人提供公证后的原件2份
Notarizing every personal investor passport copy at the China Embassy /Consulate in local country, (two originals)
(二)全体投资方的身份证明复印件1份
All personal investor’s passport copy, (one copy)
(三)外国银行对投资方的资信证明原件2份
Certificates of credit issued by a foreign bank which has business relations with the every single investor; (2 originals for each one)
(四)投资方决议原件3份
The investment agreement (3 originals)
(五)拟设上海公司执行董事身份证明复印件、简历、照片4张。
The passport or ID card (copy) and 4 photos and that the execute director in shanghai company.
(六)上海公司执行董事任命书原件3份
The appointment of execute director in shanghai company. (3 originals)
(七)上海公司监事任命书3份

(八)授权中方某人签字的授权书 原件3份（如果没有，无需此项）

二：注意事项
Special notice:
1、生产类公司需办理环境评估，此项是针对企业是否产生污染，所需做的一份报告。
The production company should offer the Environment Report, in order to decide whether it will polluting or not.
2、所有资金必须在二年内付清，初次付款金额不得低于20％，所有资金必须来自境外；
All the register capital should pay off in two years; first pay should not under 20%, all the capital should come from oversea bank.
3、每次打入资金，都必须请会计事务所做一次验资报告。
Every time customer translate into capital, should do the check capital by accountants.
