成立 外资咨询公司 和 内资咨询公司 的区别
首先，我们要指出，无论是外商投资设立的服务类公司，还是国内投资设立的服务类公司，从公司功能来看，是完全一样的。都称之为有限责任公司，都可以从事公司所能从事的
所有业务。可以完全履行所有赋予公司的权力。
First of all, we should point it out, whether the company is wholly foreign invested or Chinese natural people or China local company invested, the function
of limited service company are same. Both called limited company, can do everything that company can do.
1、投资方法律保障
外资的投资方必须都是国外企业或国外个人，不能有中国人或中国公司
The investors of WFOE should be foreign natural persons or foreign companies, no Chinese or China Company.
内资企业的投资方必须全部都是国内个人或是国内公司
The investors of CLC should be Chinese or China Company, no foreign shareholder.
中外合资企业，中方必须是公司，自然人不可以为股东。
The JV company, the china party should be a company but not natural persons.
特别提醒：股东是最大的公司实际控制者。如果国外投资方为了注册方便，找中国个人设立内资公司，要慎重评估无法律保障股权的风险。
2、利润汇往国外
外资：WFOE
在中国获得的所有利润，在向外汇管理局出具完税证明后，就可以汇往国外。
The profit get in china can transfer to the off-shore bank account if WFOE company show the Pay-Off-Tax prove files issued by china TAX government to
exchange control administration in china.
内资：LCL
所有获得的利润不可以汇往国外。
No profit can transfer to foreign country.
3、流程、时间 Process and Time
外资公司：WFOE-Wholly Foreign Owned Enterprise
租写字楼——向上海市外经委递交申请材料（需要1.5个月）——向工商局等机构办理营业执照等相关证件（需要1.5月）。截此为止，3个月内公司成立完毕。 注册资金在公司完
全成立之后3个月内从国外汇入。
Rent office----submitting the related materials to the relevant department, getting the approval documents (need 1.5 months) ----handling the Business
License and others license.(Need 1.5 months). It’s taking 3 months to finish all the incorporation process.The registration capital should transfer from the
foreignbank into china bank in 3 months after WFOE company setup.
合计：3个月
Totally: 3 months.
内资公司：CLC-China Local Company
流程：
Process:
租写字楼——查名——验资——办理工商营业执照（含刻章）——办理组织机构代码证——办理税务登记证――结束。
Rent office---Check company name---Transfer Registration capital----Handle Organization Code---Handle Tax registration----END.
成立公司合计需要1.5个月时间。
Completed setup a company needs 1.5 months.
4、注册公司费用
The registration fee:
外资公司：股东都为外国自然人或公司（WFOE-Wholly Foreign Owned Enterprise: all share holds should be forgers or foreign companies）
我们建议的最低注册资金：14万美金，如低于此数字通过的几率将下降。注册资金可以在三个月内到位20%，剩下的在2年内到位。所有的资金必须从国外汇入。
The US$140000 is our recommend mini register capital. All the register capital should pay off in 2 years; first pay should not under 20%, all the capital
should come from oversea bank.

内资公司：股东都为中国自然人或是中国公司(China Local Company：The invest are all Chinese or China company)
一位以上股东，国家规定最低注册资金为3万元，注册资金可以在三个月内到位20%，剩下的在2年内到位。仅仅一位股东最低注册资金为10万，必须一次到位。
If shareholder is more than one, the 30,000RMB is mini register capital laid down by the government. All the register capital should pay off in 2 years;
first pay should not under 20%, all the capital should come from china local bank. If shareholder has just one, the mini register capital is 100,000RMB, must
be pay off at first time.
